Welcome to iMonitorIT (a service of iFront End Technologies, Inc., "Provider"). These Terms of Service ("Terms") govern access to and use of www.imonitorit.com (the "Site") and any self-service subscription to Provider's Services.

1. Governing Agreement

All Services provided by Provider are governed exclusively by the Master Subscription & Services Agreement ("MSA") (Version 19), including Exhibit A (Service Level Agreement) and Exhibit B (Information Security & GLBA Addendum).

For customers subscribing through the Site, acceptance of these Terms constitutes acceptance of the MSA and all incorporated documents.

Nothing on this Site creates a binding service commitment, warranty, or contractual obligation independent of the MSA.

The Master Subscription & Services Agreement (Version 19), available at https://www.imonitorit.com/legal/msa, is hereby incorporated by reference and governs all Services.

2. Acceptance of Terms (Clickwrap)

By subscribing to the Services, creating an account, or otherwise using the Services, Customer:

  • agrees to these Terms;
  • agrees to the MSA (Version 19);
  • represents that it has authority to bind the applicable entity.

Provider may maintain records of acceptance, including timestamp, IP address, and version of Terms accepted.

3. Service Scope Clarification

The Services are designed to validate system availability and workflow logic using Customer-supplied test credentials.

The Services:

  • do not access, authenticate, process, or store live consumer financial data;
  • do not interact with Customer core banking systems;
  • rely on Customer-configured test environments and inputs.

4. Informational Purpose Only

Information presented on this Site is for general informational and marketing purposes only and does not constitute:

  • a guarantee of performance,
  • uptime commitment,
  • compliance certification, or
  • business outcome.

All service levels and remedies are governed solely by Exhibit A (Service Level Agreement).

5. No Reliance

Customer acknowledges that it has not relied upon any representations, statements, or promises not expressly set forth in the MSA.

6. Intellectual Property

All content, trademarks, logos, and materials on this Site are the property of Provider and may not be copied, reproduced, or distributed without prior written consent.

7. Acceptable Use

Users may not:

  • attempt to interfere with Site or Service functionality;
  • reverse engineer or attempt to extract source code;
  • use the Services in violation of applicable law.

8. Export Compliance

Customer represents that it is not located in a sanctioned jurisdiction and will not use the Services in violation of applicable export control laws.

9. Billing and Subscription

Subscriptions initiated through the Site are processed via third-party payment providers (e.g., Stripe).

By subscribing, Customer agrees:

  • to pay all applicable fees in advance;
  • that subscriptions automatically renew unless cancelled prior to the next billing cycle;
  • that fees are non-refundable except as expressly provided in the MSA.

10. Limitation of Website Liability

To the maximum extent permitted by law, Provider shall not be liable for any indirect, incidental, consequential, or special damages arising from use of the Site or Services.

11. Changes

Provider may update these Terms from time to time. Continued use of the Site or Services constitutes acceptance of the updated Terms.
